This paper introduces the basic principles of board and non-executive directors found in the Higgs report. Some of them have important implication for China, such as the board of directors being collectively responsible for company development; the composition of executive and non-executive directors should be balanced; the Chairman of the board and CEO should be assumed by a different individual; the nomination process of directors should be formal and transparent; non-executive directors nomination should have the correct Due Diligence process; the compensation of directors and their decision process should be transparent.
